Terms of Service

Virtual Homes Corporation

Last Updated: 09/22/2026

These Terms of Service (the “Terms”) are a binding agreement between you and Virtual Homes Corporation, a Minnesota corporation (“Virtual Homes,” “we,” “us,” or “our”), governing your access to and use of our websites, mobile applications, software, marketplaces, Home Profiles, project-management tools, communications, payment functionality, artificial-intelligence features, integrations, product/material features, and related services (collectively, the “Services”). “You” or “User” means the individual using the Services and, where applicable, the business or other entity on whose behalf that individual acts.

BY CREATING AN ACCOUNT, CLICKING TO ACCEPT, ACCESSING OR USING THE SERVICES, POSTING OR BIDDING ON A PROJECT, ACCEPTING A PROJECT, PURCHASING OR SELLING THROUGH THE SERVICES, OR USING A FEATURE THAT REFERENCES THESE TERMS, YOU AGREE TO THESE TERMS. IF YOU ACT FOR AN ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND IT.

THE DISPUTE-RESOLUTION SECTION CONTAINS PROPOSED BINDING ARBITRATION, JURY-TRIAL WAIVER, AND CLASS-ACTION WAIVER PROVISIONS.

1

Eligibility, User Types, and Minor Employees

1.1 User Types. The Services may be used by homeowners/consumers; general contractors; subcontractors and trade contractors; employees; retailers, suppliers and manufacturers; realtors; adjusters; architects; engineers; designers; inspectors; surveyors; permitting participants; and other authorized businesses or professionals. Features may vary by role, subscription, geography, verification status, and permissions.

1.2 Adult Accounts. Except for the limited employee-account exception below, you must be at least 18 and legally capable of contracting to create an account or independently transact. The Services are not directed to children under 13, and Virtual Homes does not knowingly collect personal information from a child under 13.

1.3 Minor Employee Accounts. An employee account may be offered beginning at age 14 only where the individual is lawfully employed and all required parent/legal-guardian consent, supervision, notices, work restrictions, and other legal requirements are satisfied. A guardian may receive access to what the minor employee can access but does not gain broader access to employer-confidential information. A guardian cannot directly disable the minor employee’s location tracking; the guardian may request that the employer disable it, and the employer decides whether to accommodate that request, subject to applicable law.

1.4 Business Authority. A person using an account for an entity represents that the person has authority to act for it. The entity is responsible for its administrators, employees, agents and other authorized users.

1.5 Eligibility and Sanctions. Virtual Homes may refuse, limit, suspend or terminate access where permitted by law for fraud, nonpayment, security risk, sanctions restrictions, unlawful activity, material breach or misuse.

2

The Virtual Homes Platform and Marketplace Role

2.1 Platform. Virtual Homes provides technology supporting homes, construction projects and related business operations, including Home Profiles, CRM/project management, estimating, bidding, scheduling, selections, documentation, workforce/timekeeping, communications, invoices, payments, reviews, analytics, product/material discovery, AI and integrations.

2.2 Marketplace, Not the Contractor. Unless Virtual Homes expressly agrees otherwise in writing, Virtual Homes is a technology marketplace/platform and is not the homeowner, general contractor, subcontractor, employer, architect, engineer, inspector, supplier, seller, lender, insurer, adjuster or other project professional. Virtual Homes does not perform construction work and is not a party to the separate construction, employment, subcontract, purchase or professional-services contract between Users.

2.3 User Decisions. Users decide whom to hire, what to bid, what prices to charge or accept, project scope, schedules, materials, payment milestones and other commercial terms. Virtual Homes does not require or coordinate pricing among independent businesses.

2.4 No Agency or Employment. Use of the Services does not create agency, employment, partnership, joint venture or fiduciary status with Virtual Homes. A subcontractor’s use does not by itself create employment with Virtual Homes or a GC.

3

Homeowners, Contractors, Bidding, and Projects

3.1 Homeowner Projects. Homeowners may create projects, request bids, set project parameters and priorities, communicate with eligible businesses, compare information and select providers.

3.2 Contractor and Subcontractor Bidding. Business Users may request, submit, accept, decline or negotiate bids using supported workflows, including fixed-price, line-item, materials-included/excluded and other configurations. A bid is not binding until the applicable parties form a contract under the workflow or otherwise agree.

3.3 Bid Confidentiality. A bid is visible only to the submitting company’s authorized personnel and its intended recipient except as otherwise authorized. Competing bidders do not receive one another’s pricing/proposals. An unsuccessful bidder may be told only that the project was awarded elsewhere unless the recipient chooses to disclose more.

3.4 Ranking and Recommendations. Virtual Homes may rank or recommend eligible providers using authorized criteria such as price, availability, ratings, experience, project fit, schedule, homeowner priorities and other relevant signals. Rankings are informational; Users retain the final choice.

3.5 Independent Project Contracts. Users are responsible for written contracts, scope, notices, permits, change orders, lien rights, warranties, insurance, licensing, code compliance, safety, taxes and other project obligations required by law.

3.6 Project Records. Estimates, bids, contracts, approvals, change orders, invoices, schedules, messages, photos, selections and other records may be preserved as part of legitimate project histories even after an individual account or live access ends.

4

Business Verification, Licensing, and Professional Information

4.1 Verification. Virtual Homes may obtain or check public/government or authorized third-party information concerning business registration, licenses, insurance, bonds, certifications and professional credentials at any time.

4.2 Business Account Verification. Virtual Homes may check business registration verification at any time. An active business account is not an endorsement, guarantee of workmanship, guarantee of present compliance, background check, financial guarantee, or promise on behalf of Virtual Homes that the business profile’s information is accurate or current. However, it is up to the Homeowner to verify if a business is registered with their state or licensed in that state while considering that company for their project.

4.3 User Responsibility. Businesses and professionals must maintain all licenses, insurance, bonds, registrations, certifications and qualifications required for their work and promptly update materially inaccurate account information. Business Users must not misrepresent the status of a credential. Providing or not correcting information reasonably misleading to Homeowners may result in restriction, suspension, or termination of your account.

4.4 Required Insurance Coverage. Contractors, subcontractors, and professionals offering or performing work through Virtual Homes must maintain insurance appropriate to their operations and comply with applicable law. Unless Virtual Homes approves different requirements for a user, trade, service, or project, applicable Business Users must maintain the following minimum coverage where relevant.

CoverageMinimum limitApplication
Commercial general liability$1,000,000 per occurrence; $2,000,000 general aggregate; $2,000,000 products completed operations aggregateBodily injury, property damage, personal and advertising injury, contractual liability, and completed operations appropriate to the work.
Workers compensationStatutory limitsEvery jurisdiction where work is performed; documented exemption where legally applicable.
Employers liability$1,000,000Where applicable.
Professional liability or errors and omissions$1,000,000 per claim and aggregateArchitects, engineers, designers, consultants, inspectors, adjusters, and other professionals with professional exposure.

4.5 Continuing obligation and no limit on user liability. Coverage must remain effective for the work and any additional period required by law, contract, or project requirements. A User must promptly update their Virtual Homes profile if required coverage is cancelled, reduced, expires, or otherwise becomes noncompliant. These requirements are minimums and do not limit a User’s liability or obligations. A User remains responsible for acts, omissions, employees, subcontractors, products, services, and work whether or not insurance is available or sufficient.

5

Home Profiles, Property Records, and Ownership Transfer

5.1 Home Profile. The Services may maintain a digital profile associated with a property (“Home Profile”), including property facts, project history and authorized records.

5.2 Transferable Property Records. Records that appropriately belong with the property may include installed products/materials, manufacturer/model/SKU, installation dates, warranties/manuals, paint/finish information, doors/windows, roofing, HVAC, appliances, permits, final plans, inspections, maintenance history, and appropriate construction/property photos or concealed-condition records.

5.3 Private Records. Private messages, personal payment/shopping history, homeowner ratings, internal contractor financials, confidential bids, personal financing/documents, unrelated personal information and other person/business-specific records do not transfer merely because the property is sold.

5.4 Installed Products. Favorites and shopping preferences remain personal. Purchase transaction details remain personal, but the final installed-product information reasonably needed to own, repair or maintain the property may become a Property Record.

5.5 Classification. Virtual Homes or AI may suggest whether content is a Property Record or Private Record. Authorized Users may review/correct classifications. Virtual Homes may apply reasonable platform rules to preserve privacy and legitimate property history.

5.6 Claim and Transfer. A seller or buyer may initiate a Home Profile transfer. Both parties must accept the transfer to prevent unauthorized transfers. A new owner may claim a profile if a seller is unable to accept the transfer, provided they can prove ownership; Virtual Homes may verify ownership through county/authoritative records and may request additional proof or manual review.

5.7 Former Owner Snapshot. A former owner may retain a downloadable or PDF snapshot of property-specific information available through the closing/transfer date. The former owner does not receive future Home Profile updates solely by reason of former ownership.

5.8 Account Deletion. Deleting a homeowner account does not necessarily delete legitimate transferable Property Records or project records held by other entitled participants.

5.9 Active and Historical Properties. Private active-property information is not intended to be publicly searchable. Virtual Homes may later offer archived/historical-property features for non-personal property history, but no such public feature is promised.

5.10 Shareable Reports. Homeowners may create shareable property reports/links/PDFs and choose what is included. Sharing is not ownership transfer.

5.11 Temporary Professional Access. Homeowners may give realtors, inspectors, lenders or other professionals limited, revocable, time-limited access. Historical realtor portfolio information does not include future Home Profile updates after authorization/listing ends.

5.12 Project Access. Before award, a bidding contractor receives only information the homeowner intentionally makes available for the project/bid process. Once an awarded contractor accepts/enters an active project, that contractor receives full access to the Home Profile for the property while the project is active, including existing property history, homeowner photos, installed-product information, warranties, plans/documents, and the Virtual Tour/3-D portion, subject to security and law. When the project is completed or otherwise closed, the contractor loses live access to future Home Profile updates, homeowner photos that are not part of its retained project record, and the Virtual Tour/3-D portion. The contractor retains its legitimate historical project record, including its uploaded/project photos, products/materials, estimates, bids, contracts, change orders, invoices, warranties, documents, measurements, notes, approvals, and message/communication history. Historical project access does not provide access to later homeowner content or future work by other contractors.

5.13 Contractor Portfolio Photos. A contractor may request permission to display specific before-and-after or project photos on its public Virtual Homes profile/portfolio. Public display requires the homeowner’s affirmative approval of the specific photos. Before approval, the homeowner is responsible for reviewing the photos and confirming they do not contain personal, private, confidential, or sensitive information the homeowner does not want publicly displayed. Virtual Homes or Robert may assist by flagging potentially sensitive content, but automated screening is supplemental and not guaranteed. A homeowner may later revoke public-display permission through available platform processes; the contractor may retain the photo in its private historical project record but must stop public display where required by platform rules.

5.14 Temporary Selected Home Profile Access. A homeowner, or an authorized contractor acting within project permissions, may grant another project participant limited access only to the specific Home Profile items selected for that participant, such as blueprints, photographs, measurements, damage information, documents, files, folders, or categories. Project participation alone does not create blanket Home Profile access. The grantor may revoke access at any time and may optionally set an expiration period. If project-related temporary access has not already expired or been revoked, it automatically ends when the project is marked complete/finished by both the homeowner and contractor. Different participants may have access revoked at different times, and the homeowner may grant access again later. A participant may retain legitimate records it created or submitted as permitted by law/agreement, but does not retain a permanent copy of all temporarily shared Home Profile information.

6

Retailers, Suppliers, Products, Materials, and Affiliate Features

6.1 Third-Party Sellers. Retailers, suppliers, manufacturers and distributors may advertise, quote, recommend or sell products/materials. Unless Virtual Homes expressly identifies itself as seller/merchant of record, the transaction is between purchaser and third-party seller.

6.2 Seller Responsibilities. The third-party seller is responsible for descriptions, availability, pricing, fulfillment, shipping/delivery, returns, refunds, warranties, recalls, taxes and product compliance except as separately agreed.

6.3 Product Data. Product images, dimensions, compatibility, price, inventory and lead times may be third-party data and may change or contain errors. Users must verify material information before purchase or installation.

6.4 Recommendations and Affiliate Compensation. With applicable permissions, Virtual Homes may use Home Profile information internally to show maintenance or compatible-product recommendations and may earn affiliate or transaction commissions. A retailer does not receive a signal that a specific homeowner needs a product merely for independent targeting.

6.5 Sponsored Placement. If sponsored placements are introduced, they should be identified as sponsored/paid where required and payment does not constitute independent verification or a guaranteed recommendation.

6.6 Manufacturer-Initiated Recall Notices. Robert does not independently search for recalls at launch. An authorized manufacturer or other permitted product source must initiate a recall/safety notice through the Virtual Homes complaints/recall process and identify affected products, such as by manufacturer, model, SKU, or other identifiers. Virtual Homes may match the submitted notice against Home Profile product records and notify users with potential matches. Manufacturers/submitting parties remain responsible for the accuracy, scope and timeliness of submitted recall information. This is supplemental and does not replace homeowner monitoring of manufacturer or government safety sources; Virtual Homes does not guarantee every affected product or user will be identified or notified.

7

Accounts, Permissions, and Security

7.1 Registration. By registering for an account users agree to provide accurate, current, and complete information. Updates to the account which reflect the most current information are the responsibility of the account users.

7.2 Administrators. Business accounts may designate owners, admins, managers, estimators, supervisors, accountants, employees and other roles. Virtual Homes may rely on designations and instructions from authorized administrators.

7.3 Granular Permissions. Account owners/admins may restrict information by role, individual, employee, customer/project, document/folder or other supported permission. Temporary access may expire or be revoked.

7.4 Responsibility for Access. The account holder is responsible for access it grants and for promptly removing access when authority ends.

7.5 Credentials. Protect login credentials/devices and promptly report suspected unauthorized access.

7.6 Account Disputes. Virtual Homes may request documentation and temporarily restrict access when account ownership/control is disputed.

7.7 Audit Activity. Virtual Homes may maintain activity/audit records for sensitive access, permission changes, documents, bids, contracts, change orders, payments, Home Profile transfers, AI actions/approvals and other significant events.

8

Subscriptions, Fees, Renewal, and Cancellation

8.1 Charges. Services may be free or subject to subscription, transaction, usage, add-on, referral, affiliate, platform or other disclosed fees.

8.2 Billing. Paid subscriptions may be monthly, annual or another disclosed schedule. You authorize Virtual Homes and its payment providers to charge amounts due.

8.3 Automatic Renewal. Unless the purchase flow states otherwise, recurring subscriptions renew for successive periods until canceled using the disclosed cancellation method. Virtual Homes will provide any renewal reminders and online cancellation method via the app, website, and direct link in renewal email or as required by applicable automatic-renewal law. Please cancel at least 5 days before the renew date to avoid being charged for the next billing cycle. Access will remain until the current cycle ends. Virtual Homes will provide any renewal reminders via email 30 days prior to renewal.

8.4 Price Changes. Virtual Homes may change prices/fees and will provide notice via email 14 days before the next billing period. New pricing will apply as stated in the notice or at renewal.

8.5 Cancellation and Refunds. Cancellation takes effect according to the applicable plan/purchase flow. Except where law requires or Virtual Homes expressly promises otherwise, fees already paid are non-refundable and partial periods are not credited.

9

Virtual Homes Payments and Stripe

9.1 Payment Features. Virtual Homes may support card, ACH, bank transfer or other methods through Stripe or other approved providers, subject to eligibility, underwriting, identity verification, transaction limits and additional terms.

9.2 Stripe Terms. Users activating payment functionality agree to applicable Stripe terms, including connected-account terms where applicable. Stripe may collect/process payment, bank, identity, tax, device, transaction and risk information directly.

9.3 Virtual Homes Role. Unless expressly stated otherwise, Virtual Homes is not a bank, lender or escrow company and does not guarantee settlement, availability of funds, or performance of the underlying project transaction.

9.4 Platform and Processing Fees. Applicable fees may be deducted from proceeds or charged separately as disclosed.

9.5 Holds, Reserves, Payouts. Stripe may delay, hold, reverse, offset, or restrict payouts, and Virtual Homes may do so only where its documented payment configuration and applicable law permit for fraud, disputes, chargebacks, refunds, negative balances, legal process, risk review or network requirements.

9.6 Chargebacks/Refunds. The receiving seller/service provider is responsible for valid chargebacks, reversals, refunds and related fees attributable to its transactions, subject to law and payment-provider rules.

9.7 Project Milestones. Construction deposits, draws, milestones and payment obligations are arrangements between the applicable homeowner and contractor unless Virtual Homes expressly agrees otherwise.

9.8 Taxes. Each User is responsible for taxes arising from its goods/services except where Virtual Homes or a payment provider is legally required to collect/remit.

10

User Content, Data, and Licenses

10.1 User Content. User Content includes text, photos, videos, scans, plans, estimates, bids, contracts, messages, reviews, customer/employee information, property information, pricing, selections, documents and other material submitted to or generated through an account.

10.2 Ownership. As between Virtual Homes and the User, the User retains ownership of User Content the User owns, subject to these Terms and legitimate rights of other project/property participants.

10.3 Operational License. You grant Virtual Homes, affiliates, subprocessors and service providers a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, technically modify and otherwise use User Content as reasonably necessary to provide, secure, support, maintain, analyze and improve the Services, perform requested actions, preserve legitimate project/property records and comply with law.

10.4 Rights and Consents. You represent that you have rights and legally required notices/consents to submit and process User Content, including information about customers, employees, minors, subcontractors, properties, communications, images and other persons.

10.5 De-Identified/Aggregated Data. Virtual Homes may create and use aggregated or de-identified information not reasonably linkable to an individual for analytics, benchmarking, security, research, product development, AI/service improvement and industry insights, subject to applicable law.

10.6 AI Training Limitation. Virtual Homes will not use identifiable User Content to train third-party general-purpose models. Any information used for general AI training will have identifiable content removed.

10.7 Sensitive Information. Do not upload full card credentials, unrelated passwords, government IDs, health information or other highly sensitive information unless the applicable feature expressly supports and authorizes it.

10.8 Backups/Export. Maintain copies of critical records. Export features may be provided, but permissions govern exports and Virtual Homes does not promise indefinite access after termination.

11

Artificial Intelligence and Automated Features

11.1 AI Features. AI may assist with estimates, quantities, scheduling, summaries, document/photo/receipt extraction, product identification, property organization, communications/transcription, analytics, recommendations, moderation, fraud detection and other functions.

11.2 Inputs and Outputs. You are responsible for Inputs. Outputs may be inaccurate, incomplete, outdated, biased, non-unique or unsuitable.

11.3 Verification. Users must independently review and validate material Outputs, especially measurements, estimates, quantities, code/safety information, bids, contracts, schedules, product compatibility, employment matters, communications and financial/business decisions.

11.4 Permission Boundary. AI inherits the permissions of the requesting User and may not be used to bypass role, project, customer, employee, document or Home Profile restrictions.

11.5 Automated Actions. Where AI can create, send, modify, schedule, approve or otherwise act, actions taken within permissions may be treated as the User’s actions. Companies may enable routine automation; material or consequential decisions may require human approval according to product configuration and applicable law.

11.6 Workforce Analytics - Future Optional Recommendations. At launch, Robert does not analyze employee/subcontractor metrics to make workforce-management suggestions. Virtual Homes reserves the option to offer such functionality in the future. If activated, Robert may identify authorized patterns and provide nonbinding suggestions, but will not make final employment decisions. Hiring, firing, discipline, compensation, promotion, reassignment, training, and other material employment decisions remain with authorized human managers/supervisors.

11.7 Human Approval for Customer-Affecting Actions. At launch, Robert may detect conditions, summarize authorized communications, create reminders/tasks, draft proposed changes, and recommend actions, but will not automatically communicate with or take an action affecting a Business User’s homeowner/customer without approval from an authorized user. Robert may, for example, alert an employee about travel time and suggest that the employee contact a customer, or prepare a proposed job/change-order update for Review or Approval. After authorized approval, Robert may carry out the approved platform update within the user’s permissions. Future automation may be introduced with appropriate controls, notice, and legal review.

11.8 Measurements and Professional Advice. AI-generated measurements, plans, estimates or as-built information are not certified merely because the Services generated them. AI does not replace licensed legal, engineering, architectural, accounting, tax, safety or other professional judgment.

11.9 Connected AI. If a User connects an independently controlled AI tool/agent, the User directs permitted data exchange and is responsible for the provider, permissions, legal rights/consents and resulting actions. The third party’s terms govern its handling once data is provided to it.

11.10 Prohibited AI Use. Do not use AI to evade security/permissions, extract confidential/personal data without authorization, submit content you lack rights to, unlawfully discriminate, exploit minors, or train/improve an external competing model using Virtual Homes proprietary content without written permission.

12

Workforce, Timekeeping, Location, and Employee Analytics

12.1 Employer Control. Business Users may use timekeeping, job assignment, skills/training, credential and workforce analytics features and are responsible for employment, wage/hour, labor, notice, consent and worker-classification compliance.

12.2 Manual Punches and Live GPS. Employees must manually punch in for the workday and manually punch into each job. Leaving a jobsite or geofence does not automatically punch the employee out or move time to another job. To change jobs, the employee manually punches into the next job; to finish work, the employee manually punches out for the day. While punched in, enabled GPS may provide authorized employer personnel with live/current employee location so the employer can verify location. Virtual Homes reserves the right to offer optional geofencing-based punch functionality in the future, subject to appropriate controls and law.

12.3 Location Retention. Detailed precise location history is intended to be retained as long as the Business User decides for authorized verification/investigation, while timecard/jobsite allocation records may be retained indefinitely as legitimate business/employment records. It is up to the Business User to abide by their state’s timekeeping record laws.

12.4 Analytics and Project Worker Feedback. Homeowners may be offered a way to provide ratings or feedback about employees and subcontractors assigned to their project. That individual worker feedback is saved as confidential company analytics rather than displayed as a public or portable employee-profile rating. Authorized company users may access internal metrics such as estimated vs. actual hours, attendance, productivity, schedule performance, rework, skills, certifications, training, homeowner/customer feedback, profitability and trends. Company-owned analytics remain confidential to that company subject to law and permissions.

12.5 Portable Profile. Employees may carry permitted certifications/licenses, experience, training, qualifications and recommendation letters in their Employee Profile. Employer-private analytics do not transfer to a future employer or with the Employee Profiles.

12.6 Future Work Marketplace. Any future employment/work marketplace is voluntary/opt-in unless otherwise disclosed and does not automatically expose employer-private analytics.

13

Scheduling and Calendar Features

13.1 Integrations. Authorized calendar data may support scheduling. Where availability is sufficient, unrelated personal event details should not be exposed. It is up to the User/Business User to verify no private information is included in the calendar they intend to integrate.

13.2 Subcontractor Availability. General Contractors may see the full project calendar for all projects they are managing, including when each Subcontractor is scheduled to be on that project. General Contractors may see only Available/Unavailable or blocked periods on their Subcontractor’s calendar for projects that are not related to them.

13.3 Time Off. Approved/entered employee time off may display as Unavailable/Off without unnecessary personal details.

13.4 AI Scheduling. At launch, schedule changes may require approval. In the future, Business Users may later opt into supported AI auto-scheduling, including dependency-based rescheduling and releasing tentative holds after declined bids. Each participating business remains responsible for its configuration and commitments.

14

Communications, Messaging, Calls, and Marketing

14.1 Pre-Award Privacy. Pre-award homeowner/contractor project communications may be routed through Virtual Homes without exposing the homeowner’s personal contact information to bidding contractors. Once a bid is accepted, the contractor will be able to see the homeowner’s selected contact details.

14.2 Contractor List and Preferred Contractors. With no prior messaging relationship, a homeowner may initiate a message to a contractor, but a contractor may not initiate a message to that homeowner. Once the homeowner messages the contractor, the contractor is added to the homeowner’s Contractor List and may initiate future messages until the homeowner removes the contractor from the Contractor List. A homeowner may separately add a contractor to their Preferred Contractors, while classified as Preferred, contractors may also initiate messages. Either party may block the other from messaging through available platform controls.

14.3 Project Record. Project communications may be preserved in the project record even when routed through SMS/email.

14.4 Calls and Transcription. Where enabled, calls may be recorded/transcribed and associated with the project. Users must comply with notices/consents required by applicable law. Where recording or transcription are enabled the 3rd party recording software will state “This call is being recorded, by continuing this call, you are providing your consent.”

14.5 User Communications Compliance. Users sending SMS, email, calls or marketing through the Services are responsible for lawful content, consent, opt-outs, TCPA, CAN-SPAM, A2P/carrier requirements, telemarketing, advertising/endorsement rules and other applicable law.

14.6 Virtual Homes Marketing. Virtual Homes may send its own promotional communications and feature updates where permitted; users may opt out of marketing while still receiving service, legal, project, security and transaction communications.

14.7 Customer Marketing. Businesses may market to their own prior customers where lawful and permitted, but the Services are not an unrestricted spam channel.

15

Reviews, Complaints, and Marketplace Integrity

15.1 Review Eligibility. Review eligibility begins after an accepted bid and the project has started, subject to platform rules.

15.2 Audiences. Homeowner-to-contractor reviews may be visible to consumers and the reviewed contractor. Contractor/subcontractor-to-homeowner reviews may be visible to the reviewed homeowner and eligible professional users, not the general homeowner audience. GC↔sub reviews may be visible within the professional audience and to the reviewed business.

15.3 Responses and Edits. Each reviewed party may receive one response; reviews and responses may be editable. The platform need not provide reply-to-reply threads and may retain prior versions internally.

15.4 Content Standards. Reviews must reflect genuine project experience and may not be materially false, misleading, fraudulent, retaliatory, extortionate, privacy-invasive or otherwise violate platform rules.

15.5 Photos and Evidence. Public review photos must be project-relevant and free of personal/confidential information. Contracts, invoices, messages and similar evidence may be submitted privately to Virtual Homes for investigation rather than publicly posted.

15.6 Removal. Only Virtual Homes may remove/suppress a review through its moderation/investigation process. Either side may report content.

15.7 Complaints. Homeowners and businesses may submit complaints. Virtual Homes may investigate platform-rule violations and may warn, restrict, suspend or terminate accounts for violations or patterns of serious complaints. Virtual Homes does not adjudicate the underlying construction/payment dispute.

15.8 Reports and Fraud. Contractors and homeowners may report suspected fraud, manipulated reviews, unauthorized access, unverified transfers, scams, or abuse. Virtual Homes may investigate, remove content, limit features or restrict accounts as reasonably necessary to protect Users, third parties, the Services or Virtual Homes, subject to applicable law. A report or automated flag is not itself a finding of wrongdoing.

16

Third-Party Integrations and Professional Participants

16.1 Integrations. The Services may integrate with accounting, calendars, property/measurement/aerial providers, mapping, floor-plan/3-D tools, retailers/suppliers, communications, AI, permitting systems and other third parties.

16.2 User Authorization. The account owner/admin controls enabled integrations and scopes where supported. Enabling an integration directs Virtual Homes to exchange information reasonably necessary for the integration.

16.3 Third-Party Terms. Independent third-party services are governed by their own agreements/privacy practices. Virtual Homes is not responsible for third-party services outside its control.

16.4 Limited Professional Access. Adjusters, architects, engineers, designers, inspectors, surveyors, permitting authorities and similar participants receive only the specific documents, folders and project information shared with them, not automatic access to the entire project, Home Profile or Contractor Profile.

16.5 Property/Measurement Data. Public/licensed property, aerial, measurement, plan and ownership data may be used for Home Profile pre-population and preliminary estimating. Unless expressly certified, such information is informational and should be independently verified.

17

Acceptable Use

17.1 Prohibited Conduct. Do not violate law or third-party rights; commit fraud; misrepresent identity, ownership, licensing, insurance, qualifications, credentials, project facts, bids, prices or reviews; harass/threaten; spam; distribute malware; facilitate unlawful discrimination; exploit children; infringe IP; invade privacy; or upload unlawful/obscene/defamatory material.

17.2 Security. Do not probe/circumvent security, access information without permission, share credentials improperly, reverse engineer except where law prohibits the restriction, interfere with operations or impose unreasonable load.

17.3 Scraping and Competitive Use. Do not scrape/systematically extract non-public platform data, use Virtual Homes proprietary content/software to build a competing service, or use proprietary content/Outputs to train an external model without written permission.

17.4 Off-Platform Payments. If you submit a project, submit or receive a bid or proposal, or acquire a customer, contractor, subcontractor, project opportunity, or other business relationship through the Virtual Homes Platform, you agree that you will use Virtual Homes as the exclusive method to request, make, receive, and process payments for Covered Work directly or indirectly arising from that project, opportunity, or Platform-originated relationship. Contractors finding projects on Virtual Homes and requesting payment off platform may be investigated for circumvention. This Section applies to Business Users. It does not restrict a homeowner’s choice of contractor and does not require a homeowner to route off-Platform work or payments through the Platform.

17.5 Covered Work. “Covered Work” means work, services, projects, change orders, additions, extensions, or other compensated opportunities obtained through, resulting from, or materially facilitated by a lead, project, bid, introduction, communication, or business relationship established through the Virtual Homes marketplace. Users may not intentionally circumvent Virtual Homes or applicable fees by requesting, encouraging, accepting, making, or arranging payment outside the Platform for Covered Work, including through cash, check, ACH, credit card, payment application, invoice, or another off-Platform payment method.

17.6 Pre-Existing Relationships. The restriction in Sections 17.4-17.5 does not apply to a relationship that a User can reasonably demonstrate existed independently before the parties were introduced or connected through Virtual Homes, except to the extent a particular project or transaction was itself obtained through the Virtual Homes marketplace and is subject to Virtual Homes fees.

17.7 Non-Circumvention. By using Virtual Homes Users agree to the terms, including non-circumvention of platform fees. Users may report suspected circumvention under the complaints section on the app or website. Virtual Homes may investigate using information reasonably available to it, including applicable project, bid, payment, and communication records. If Virtual Homes reasonably determines that a User intentionally circumvented the Platform or accepted or arranged off-Platform payment for Covered Work in violation of these Terms, Virtual Homes may, subject to applicable law, restrict, suspend, or terminate Platform access and pursue applicable unpaid Platform fees and other remedies available under these Terms or law.

17.8 General Enforcement. Virtual Homes may investigate, remove content, limit features or restrict accounts as reasonably necessary to protect Users, third parties, the Services or Virtual Homes, subject to applicable law.

18

Intellectual Property and Feedback

18.1 Virtual Homes IP. The Services, software, designs, interfaces, workflows, databases, documentation, trademarks, logos and Virtual Homes content, excluding User Content/third-party content, belong to Virtual Homes or licensors.

18.2 License. Subject to these Terms and applicable fees, Virtual Homes grants a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Services for their intended purpose.

18.3 Feedback. Virtual Homes may use voluntarily supplied ideas, suggestions and corrections without restriction or compensation, provided confidential feedback is not publicly attributed without permission.

18.4 DMCA. Virtual Homes will maintain a DMCA notice/counter-notice process. Virtual Homes will designate and register a copyright agent with the U.S. Copyright Office, publish the agent’s contact information, respond to valid notices and counter-notices, and maintain and reasonably enforce a policy of terminating repeat infringers.

19

Privacy, Data Protection, and Security

19.1 Privacy Notice. The Virtual Homes Privacy Notice describes collection, use, disclosure, retention and privacy choices and is incorporated by reference to the extent permitted by law.

19.2 DPA. Where Virtual Homes processes personal data for a Business User as processor/service provider/contractor, the applicable Data Processing Addendum is incorporated into the agreement.

19.3 Business Responsibilities. Business Users are responsible for legally required notices, permissions and consents concerning customers, employees, subcontractors, prospects and other persons, including precise geolocation, minor employees and recordings.

19.4 Security. Virtual Homes uses reasonable administrative, technical and organizational safeguards appropriate to the Services, but no system is completely secure. Specific certification/encryption claims apply only if separately stated and actually implemented.

19.5 No Virtual Homes Biometric Templates. Virtual Homes does not intend to collect/store biometric templates such as fingerprints, facial geometry or voiceprints. Device-level biometric authentication may be handled by the device/provider.

19.6 Rights and Retention. Privacy requests, deletion and exports remain subject to law, verification, permissions, other users’ rights, employer-confidential information, security/fraud protections, legitimate project/property records and legal retention obligations.

20

Beta and Experimental Features

20.1 Beta. Virtual Homes may offer beta, pilot, preview or experimental features that may be incomplete, change, contain errors or be discontinued.

20.2 As-Is. Unless separately agreed, beta features are provided as-is without service-level commitments and may have additional terms.

21

Suspension and Termination

21.1 By User. Users may close/cancel accounts subject to subscription commitments, outstanding balances, payment/transaction obligations and the applicable cancellation flow.

21.2 By Virtual Homes. Virtual Homes may suspend or terminate accounts or subscriptions for material breach, fraud, nonpayment, security risk, unlawful conduct, abusive conduct, sanctions restrictions, serious marketplace-integrity concerns, material risk to Users/Virtual Homes, with or without cause as determined by Virtual Homes.

21.3 Effect. Termination does not eliminate obligations intended to survive, including payments, chargebacks, confidentiality, IP, indemnity and disputes.

21.4 Data After Termination. Virtual Homes may retain information as permitted/required for legitimate property/project records, other participants’ records, accounting/legal obligations, fraud/security, disputes, backups and de-identified/aggregated datasets. Deleting or terminating a Homeowner Profile does not delete Home Profile information needed by the new Homeowner, or project information needed by previous contractors for accurate records to the extent permissions allow, unless law or a security concern requires otherwise.

22

Disclaimers

22.1 As-Is. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND VIRTUAL HOMES DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT EXCEPT WHERE THEY CANNOT LAWFULLY BE DISCLAIMED.

22.2 Marketplace. VIRTUAL HOMES DOES NOT GUARANTEE THE IDENTITY, LICENSING, INSURANCE, FINANCIAL CONDITION, QUALITY, SAFETY, LEGALITY, AVAILABILITY, PRICE, PERFORMANCE OR CONDUCT OF ANY USER OR THIRD PARTY.

22.3 Construction/Projects. VIRTUAL HOMES DOES NOT GUARANTEE BIDS, ESTIMATES, MEASUREMENTS, MATERIAL QUANTITIES, SCHEDULES, CODE COMPLIANCE, PERMITS, WORKMANSHIP, PROJECT OUTCOMES, LIEN STATUS, WARRANTIES, PAYMENT OR SAFETY.

22.4 Products/Data/AI. VIRTUAL HOMES DOES NOT WARRANT THAT PRODUCT INFORMATION, PROPERTY DATA, INTEGRATIONS, PUBLIC RECORDS, BENCHMARKS, RECALL INFORMATION OR AI OUTPUTS ARE ACCURATE, COMPLETE, CURRENT OR ERROR-FREE.

22.5 Statutory Rights. Nothing excludes rights or warranties that cannot lawfully be waived.

23

Limitation of Liability

23.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUAL HOMES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, BUSINESS INTERRUPTION, OR SIMILAR LOSSES ARISING FROM OR RELATED TO THE PLATFORM, SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY.

23.2 Liability Cap. EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, THE TOTAL LIABILITY OF VIRTUAL HOMES AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES, OR THESE TERMS FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $500 OR (B) THE TOTAL FEES THE APPLICABLE USER PAID DIRECTLY TO VIRTUAL HOMES IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. AMOUNTS PAID FROM ONE USER TO ANOTHER FOR CONSTRUCTION, MATERIALS, PROFESSIONAL SERVICES, OR OTHER UNDERLYING TRANSACTIONS ARE NOT CONSIDERED FEES PAID TO VIRTUAL HOMES FOR THIS CALCULATION. THIS LIMIT DOES NOT APPLY TO VIRTUAL HOMES’ OWN FRAUD OR WILLFUL MISCONDUCT.

23.3 Non-Waivable Liability. These limits apply only to the extent permitted by law and do not limit liability that cannot legally be limited.

24

Indemnification

24.1 Business Users. To the maximum extent permitted by law, each Business User will defend, indemnify and hold harmless Virtual Homes and its affiliates, officers, directors, employees and agents from third-party claims arising from that User’s goods/services, project performance, employment/subcontractor relationships, communications/marketing, taxes, licensing, permits, User Content, violation of law, breach of these Terms or infringement of third-party rights.

24.2 Consumer Users. A Consumer User will indemnify Virtual Homes only for third-party claims arising from that user’s unlawful conduct, fraud, infringement of third-party rights, or material breach of these Terms, to the extent permitted by law.

24.3 Procedure. Virtual Homes will provide reasonable notice and cooperation.

25

Disputes Between Users

25.1 User Disputes. Disputes concerning bids, scope, contracts, workmanship, delays, products, delivery, employment, subcontracting, warranties, liens, payment, refunds or property damage are between the applicable Users.

25.2 Platform Assistance. Virtual Homes may provide records, payment-dispute tools, communications or informal support but does not thereby become a party, arbitrator, insurer or guarantor of the underlying dispute.

25.3 Rights. Nothing prevents Users from exercising rights against one another under their separate agreements or applicable law.

26

Dispute Resolution With Virtual Homes

26.1 Informal Resolution. Before a formal claim, the parties will attempt good-faith informal resolution through written notice describing the dispute and requested relief. A party must send written notice of a dispute to Virtual Homes at info@vhomes.us or the mailing address in Section 31, and the parties will attempt informal resolution for 60 days before starting a formal proceeding.

26.2 Proposed Arbitration. EXCEPT FOR ELIGIBLE SMALL-CLAIMS MATTERS AND APPROPRIATE INJUNCTIVE RELIEF RELATING TO INTELLECTUAL PROPERTY OR UNAUTHORIZED ACCESS, DISPUTES BETWEEN YOU AND VIRTUAL HOMES ARISING OUT OF OR RELATING TO THESE TERMS OR SERVICES ARE PROPOSED TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN COURT. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before a single arbitrator, seated in the county of the user’s residence or another agreed location. For a Consumer User’s individual claim, the consumer’s share of arbitration fees will not exceed $250 or the amount required under the AAA Consumer Arbitration Rules, whichever is less, and Virtual Homes will pay the remaining arbitration filing and administrative fees. If 25 or more similar claims are filed by or with coordinated counsel, the parties will use a staged bellwether process to manage mass-arbitration costs.

26.3 Jury Waiver. TO THE EXTENT A DISPUTE MAY PROCEED IN COURT, THE PARTIES WAIVE JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

26.4 Class Waiver. CLAIMS ARE PROPOSED TO BE BROUGHT ONLY INDIVIDUALLY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION TO THE MAXIMUM EXTENT PERMITTED BY LAW.

26.5 Opt-Out. A user may opt out of arbitration by sending written notice to info@vhomes.us within 30 days after first accepting these Terms. Opting out will not affect any other part of these Terms.

27

Governing Law and Venue

27.1 Minnesota. Except where federal law or non-waivable law provides otherwise, these Terms are governed by Minnesota law without regard to conflict-of-law rules.

27.2 Venue. For disputes not subject to arbitration, the state and federal courts located in Minnesota have exclusive jurisdiction, except where a Consumer User’s local venue rights apply.

28

Changes to the Services and Terms

28.1 Services. Virtual Homes may add, modify, suspend or discontinue features, plans, integrations or beta functionality, subject to contractual and legal obligations.

28.2 Terms. Virtual Homes may update these Terms. The Last Updated date will be revised and Users will receive notice of material changes as required. Where law requires affirmative consent, Virtual Homes will request it before the change applies.

28.3 Continued Use. Continued use after an effective date may constitute acceptance where permitted by law.

29

General Terms

29.1 Entire Agreement. These Terms, the Privacy Notice, DPA where applicable, order forms, payment/marketplace/product-specific terms and policies incorporated by reference form the applicable agreement. Product-specific terms control a direct conflict for that product.

29.2 Assignment. You may not assign these Terms without prior written consent except where law permits. Virtual Homes may assign in connection with merger, reorganization, financing, sale of assets or transfer of the Services.

29.3 Severability. Unenforceable provisions will be enforced to the maximum lawful extent and the remainder remains effective, subject to any special arbitration severability rule.

29.4 Waiver. Failure to enforce is not a waiver.

29.5 Force Majeure. Virtual Homes is not responsible for delay/failure caused by events beyond reasonable control, including disasters, utility/telecom failures, cyberattacks, labor disruption, government action, war, epidemics or third-party infrastructure failure.

29.6 No Third-Party Beneficiaries. Except as expressly stated, these Terms create no third-party beneficiary rights.

29.7 Electronic Records. You consent to electronic agreements, notices, disclosures and records where permitted by law.

29.8 Survival. Payment, IP, disclaimers, limitations, indemnification, disputes and provisions that by nature should survive will survive.

30

Mobile Applications and App Stores

30.1 Mobile. Carrier charges, data rates, device requirements and app-store rules may apply.

30.2 Apple/Google. For apps obtained through the Apple App Store or Google Play, the applicable store’s standard terms also apply, Virtual Homes is solely responsible for the app and its support, and the store providers are third-party beneficiaries who may enforce these Terms against you.
